End-User License Agreement

Effective Date: December 3, 2025

1. Agreement to Terms

By connecting your QuickBooks Online account to Rapidgo Inc. (“Rapidgo Inc.,” “we,” “us”), you agree to be bound by this End-User License Agreement (“Agreement”).

2. Description of Service

Rapidgo Inc. provides an integration service that automatically creates and syncs invoice data from our logistics management system to your QuickBooks Online account. This service is limited to accounting data only and does not process payments, store payment card information, or transmit funds.

3. Grant of License

We grant you a non-exclusive, non-transferable, revocable license to use our QuickBooks integration service solely for managing your business accounting data.

4. Data Access and Usage

By authorizing this integration, you grant Rapidgo Inc. permission to:

• Read customer information from your QuickBooks account
• Create and update invoices in your QuickBooks account
• Access accounting data necessary for invoice synchronization

We will NOT:

• Access, store, or process payment information
• Transmit funds or facilitate money transfers
• Share your data with third parties for marketing purposes

5. Your Responsibilities

You are responsible for:

• Maintaining the security of your QuickBooks and Rapidgo accounts
• Ensuring the accuracy of data synchronized between systems
• Reviewing invoices created by our system
• Complying with QuickBooks’ terms of service

6. Service Availability

We strive to maintain 99% uptime but do not guarantee uninterrupted service. We are not liable for service disruptions caused by QuickBooks API changes, maintenance, or third-party issues.

7. Limitation of Liability

To the maximum extent permitted by law, Rapidgo Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

8. Termination

You may disconnect this integration at any time through your QuickBooks Online account settings. We may terminate access if you violate this Agreement or for non-payment of Rapidgo Inc. services.

9. Changes to Agreement

We reserve the right to modify this Agreement. Continued use of the service after changes constitutes acceptance of the updated terms.

10. Governing Law

This Agreement is governed by the laws of the Province of Ontario, Canada.
